Terms of Service

The agreement between you and Teralis Pty Ltd covering your use of QRtub.

1. Who this is with

QRtub is provided by Teralis Pty Ltd (ABN 76 152 898 649, ACN 152 898 649), an Australian private company. In these terms “we” and “us” mean Teralis Pty Ltd, and “you” means the person or organisation using QRtub.

By creating an account or using QRtub you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you are authorised to bind it.

2. What QRtub does

QRtub manages the link between a physical QR code and wherever you want it to point. You create Links, encode them on physical media, and decide what each one resolves to. You can change those destinations at any time without reprinting.

QRtub connects to other systems by building web addresses that open them. It does not exchange data with those systems, and nothing writes back into QRtub. If a system you point at changes its addresses or goes away, your links to it will stop working — that is outside our control.

3. Your account

  • Give us accurate details when you sign up, and keep them current
  • Keep your sign-in credentials secure — you are responsible for activity under your account
  • You are responsible for the people you invite to your team and what they do
  • Tell us promptly at hi@qrtub.com if you think your account is compromised

4. Fees and billing

  • Plans and prices are shown at qrtub.com/pricing
  • Subscriptions are billed in advance, monthly or annually, and renew automatically until cancelled
  • Payments are processed by Stripe. We do not see or hold your card details
  • Prices exclude GST and other taxes unless stated; where tax applies we will add it
  • You can cancel at any time from your account. Cancellation takes effect at the end of the period you have already paid for — we do not pro-rate part-months
  • If we change prices we will give you at least 30 days’ notice by email before the change applies to your renewal

If a payment fails we will try again and let you know. If it remains unpaid we may suspend your account — see section 9 for what happens to your Links.

5. Acceptable use

You must not use QRtub to:

  • Point a Link at malware, phishing, or anything designed to deceive the person scanning
  • Impersonate another organisation, or imply an association you do not have
  • Host or link to unlawful material, or material that infringes someone else’s rights
  • Break the law, or help someone else do so
  • Attempt to gain unauthorised access to the service, other accounts, or the systems behind them
  • Resell or redistribute the service other than as agreed with us in writing

Because the person scanning a code cannot see where it leads before they scan it, we take deceptive destinations seriously and will act quickly on them.

6. Your content

Everything you put into QRtub — your Tubs, Items, Pages, images and field data — remains yours. We claim no ownership of it.

You give us the permission we need to run the service: to store your content, process it, and display it to people who scan your codes or use your account. That permission exists only to operate QRtub and ends when you delete the content or close your account.

You are responsible for your content, including having the right to use it and making sure it does not break the law. If it includes personal information about other people, you are the controller of that information — see our privacy policy.

7. Our intellectual property

QRtub itself — the software, design, documentation and brand — belongs to us. These terms give you the right to use the service, not to own it, copy it, or build a competing product from it.

8. Availability

We work to keep QRtub available and running well, but we do not promise uninterrupted service. We may need to take it down for maintenance, and things sometimes break. We do not currently offer a service level agreement.

Where we can foresee significant downtime, we will give you notice. Where we cannot, we will tell you what happened.

9. Suspension, termination, and what happens to your Links

This section matters more than usual, because your codes are printed on physical things.

You can close your account at any time. We may suspend or close an account for non-payment, for breach of these terms, or where we are required to by law.

Before we suspend an account for non-payment, we will give you at least 30 days’ notice by email. During that period your Links keep resolving.

When an account is closed, your Links stop resolving and anyone scanning your codes will reach a page saying the code is no longer active. Your physical media is unaffected — the codes are still readable, they simply have nothing to point to.

We keep your data for 30 days after closure so you can export it or restart, then delete it. You can export your Items and Links as CSV at any time while your account is open, and we recommend doing so before you close it.

We will not hold your Links hostage. If you leave, tell us and we will help you export what you need.

10. Liability

Nothing in these terms limits liability that cannot be limited by law — including liability for death or personal injury caused by negligence, for fraud, or under the Australian Consumer Law.

Losses we exclude entirely

We are not liable for indirect or consequential loss, or for loss of profit, revenue, business, contracts, goodwill, anticipated savings, or data — however it arises, even if we were told it was possible.

The cap on everything else

For everything not excluded above, our total liability to you in connection with QRtub is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Australian Consumer Law

If the Australian Consumer Law applies and we breach a statutory guarantee that cannot be excluded, our liability for services is limited — to the extent the law allows — to resupplying the services or paying the cost of resupply.

Why it is set this way

QRtub is a low-cost service that often sits alongside operations far more valuable than the subscription. We cannot carry the risk of what happens downstream of a redirect, and pricing the service as though we could would make it unaffordable. If your use case needs different terms, talk to us at hi@qrtub.com rather than assuming these ones cover it.

11. Your responsibility to us

If someone brings a claim against us because of your content, your destinations, or your use of QRtub in breach of these terms, you agree to cover our reasonable costs in dealing with it.

12. Changes to these terms

We may update these terms. For minor changes we will update the date at the top. For anything that materially affects your rights, we will email account holders at least 30 days beforehand. If you do not accept a change, you can cancel before it takes effect.

13. Governing law

These terms are governed by the laws of New South Wales, Australia, and the courts of New South Wales have non-exclusive jurisdiction. If you are a consumer in another country, this does not remove protections you have under your local law.

14. General

  • If any part of these terms is unenforceable, the rest still applies
  • Not enforcing a term straight away does not mean we have given it up
  • You may not transfer your agreement with us without our consent; we may transfer ours if the business is sold
  • These terms, with the privacy policy, are the whole agreement between us
